 Composition of Board and Committees
  Board
The board composition is to reflect the three broad categories of Alliance membership: corporate, including corporate foundations and giving programs; private foundations (family and independent foundations); and community foundations. To the degree possible, each category should be represented by one-third of the board.

Board composition should also reflect the statewide nature of Alliance' mission and membership.

In choosing board members, the organization should strive to have representation of men and women and should strive for ethnic and racial diversity.

Generally speaking, those invited to serve on the Alliance's Board will be either a trustee or an executive level staff member of an Alliance member organization. While the Alliance does not expect parity, it does believe it is important to have both trustee and staff representation on the board.

The Alliance prefers to select new board members from among those individuals who have served on Alliance committees.

Board seats are not to be considered to be automatically awarded to certain member organizations. If a director leaves the board, his or her replacement need not automatically be chosen from the departing director's foundation or corporate giving program.

Proxies are not used for board meetings. A director may not send a representative or proxy in his or her stead.

Committee
The board chair is an ex-officio member of each board committee. The chair and other officers serve as members of the Alliance Foundation Board.

The vice chair of the board serves as chair of the nominating committee.

The chair of the Alliance board shall serve as the chair of the Alliance Foundation Board. People other than directors are welcome to serve on all Alliance committees except the Executive Committee. Each committee, however, generally is chaired by an Alliance director.
